Terms of Service
Last updated:
These Terms of Service ("Terms") govern access to and use of the Talk2task service (the "Service") and the Talk2task website at talk2task.ai. They form an agreement betweenTBD ("Talk2task", "we", "us"), and the organisation that uses the Service ("Customer", "you"). If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind it.
1. The Service
The Service is a browser workspace where the Customer's team reads the records of its calls: summaries, decisions, owners, action items and task proposals. The Customer gives us these records, and we load them into its workspace. We may improve and change the Service over time. Features described as "Soon" or offered as early access are provided as they become available and may change or be withdrawn.
2. Business use only
The Service is intended for businesses and professionals, not for consumers. By using it you confirm that you act for purposes of your trade, business or profession.
3. Accounts and access
- Access to a workspace is given to the people the Customer authorises ("Authorised Users"). We set up each account by invitation, and users log in with their work email and a password.
- The Customer is responsible for its Authorised Users, for keeping their passwords and email accounts secure, and for asking us to remove access for people who leave.
- Tell us promptly at hello@talk2task.ai if you suspect unauthorised access.
4. Customer Data
- "Customer Data" means the call records and other content the Customer or its users provide to the Service.
- The Customer keeps all rights to Customer Data. It grants us a limited licence to host, copy, process and transmit Customer Data only as needed to provide, secure and support the Service.
- We do not use Customer Data to train machine-learning models, and we do not sell it.
- Our processing of personal data within Customer Data is governed by our Privacy Policy and by the data processing agreement (DPA) we sign with the Customer before we receive any Customer Data. If the DPA and these Terms conflict on data protection, the DPA prevails.
5. Customer responsibilities
- Have a lawful basis for the records provided to the Service, including the recording of the calls they come from, and inform the people in those calls as the law of their jurisdictions requires, including any consent needed.
- Choose which call records are provided to the Service.
- Review the records before relying on them.
6. Acceptable use
You must not, and must not allow others to:
- use the Service in breach of any law or third-party right, including privacy and intellectual property rights;
- upload malware, or content you have no right to process;
- attempt to gain unauthorised access to the Service or to other customers' data, or probe, scan or test its vulnerability without our written permission;
- interfere with or disrupt the Service, or exceed reasonable usage limits we communicate;
- reverse engineer the Service except where the law expressly allows it, or use it to build a competing product;
- resell or sublicense the Service without our written agreement.
7. AI-generated output
Records shown in the Service, such as summaries, decisions, owners and task proposals, can be produced by language models. Such output can be incomplete or inaccurate, including names, dates and attributions. It is provided to assist your team and is not professional advice. You are responsible for reviewing output before acting on it.
8. Links to other tools
The workspace may link to tools you use, such as your task tracker. Your use of those tools is governed by their own terms, and we are not responsible for their availability or behaviour.
9. Fees
Fees, if any, billing periods and payment terms are set out in the order form, proposal or written agreement we agree with you. Unless agreed otherwise, fees are exclusive of VAT and other applicable taxes. Early access may be provided free of charge for a period we communicate to you.
10. Confidentiality
Each party will keep the other's non-public business, technical and financial information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law.
11. Our intellectual property
We and our licensors own the Service, the website and all related software, designs and trademarks. Apart from the right to use the Service under these Terms, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.
12. Suspension and termination
- Either party may terminate the Service for convenience with 30 days' written notice, unless an order form sets a fixed term.
- Either party may terminate immediately if the other materially breaches these Terms and does not cure the breach within 15 days of notice.
- We may suspend access immediately where necessary to prevent harm to the Service, to other customers or to third parties, or to comply with the law. We will tell you why and restore access once the issue is resolved.
- On termination we stop processing Customer Data and delete it as set out in the DPA.
13. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy of output and uninterrupted availability.
14. Limitation of liability
- Neither party is liable for indirect or consequential losses, or for loss of profits, revenue, business or goodwill.
- Each party's total liability arising out of or in connection with these Terms is limited to the greater of the fees paid by the Customer in the twelve months before the event giving rise to the claim and EUR 100.
- Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be limited by law.
15. Changes to these Terms
We may update these Terms. For material changes we will notify Customers by email at least 30 days before they take effect. Continued use of the Service after that date means you accept the updated Terms; if you do not agree, you may terminate before the change takes effect.
16. Governing law and jurisdiction
These Terms are governed by the laws of Spain. The courts of Barcelona have exclusive jurisdiction over any dispute arising out of or in connection with them, unless mandatory law provides otherwise.
17. General
These Terms, together with any order form and the DPA, are the entire agreement between the parties about the Service. If any provision is found unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except to a successor in a merger or acquisition. Failure to enforce a provision is not a waiver. Notices to us go to hello@talk2task.ai.
18. Company information
In accordance with article 10 of the Spanish LSSI: TBD, email hello@talk2task.ai.
